TERMS & CONDITIONS

These terms and conditions ("Terms") govern the use of the "Momentum Membership" service (“Service”) provided by Deus Marca LLC ("Deus Marca"). By accessing or using the Service, you ("Client") agree to be bound by these Terms. If you do not agree with these Terms, please refrain from using the Service.

  1. Service Description: The Momentum Membership service provided by Deus Marca aims to offer clients brand and design expert guidance, advisory, consulting, insights, feedback and support from the lens of leveraging brand strategy and visual communication in support of the client’s goals. Regular Check-in Calls are intended to have ongoing discussions, coordination, and communication with the client that Deus Marca can track, follow up on, and allow for ongoing support. The service itself does not provide hands-on design work which must be handled by our design studio. Deus Marca can review designs and discuss with some light edits where and when possible during the call itself, but it is not intended to produce any new tangible design assets or collateral. During Check-In calls or via email, Deus Marca may suggest to clients whether to hire someone outside and support that decision process, or to book a design sprint with Deus Marca, or (when possible) hire one of Deus Marca’s designers 1-1 for tasks that don’t fit into the Sprint Method. The intention is to provide the client with clear options and help align their choices with their goals, budget, and timeline, while also providing risk analysis for their choices. The small fee allows Deus Marca to maintain records, track progress, keep time and communication open for Members.
  2. Limitation of Liability: Deus Marca shall not be held liable for any outcomes, including but not limited to sales or marketing results, that may arise from the implementation of the Momentum Membership. The Client understands and acknowledges that the success of their brand strategy, guidance, and support relies on various factors beyond the control of Deus Marca, including leadership, teamwork, funding, market conditions, Client behavior, and competitive landscape.
  3. Client Responsibilities: The Client agrees to actively participate in the implementation of their Brand Map/Tune-Up/Calibration and any ongoing plans mutually agreed up during Check-In Calls, and provide accurate and honest information pertaining to their current business circumstances, capabilities, and goals. It is the Client's responsibility to carefully review the recommendations provided by Deus Marca and decide how to implement them based on their business needs and objectives.
  4. Intellectual Property: All intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, the framework itself, related to the Brand Map, Design Sprints, Guides, Worksheets, and any accompanying materials provided by Deus Marca shall remain the property of Deus Marca. The Client is granted a limited, non-exclusive, non-transferable right to use the Brand Map or any of the aforementioned items solely for their internal business purposes applied to one brand/business unless otherwise agreed upon with written documentation.
  5. Confidentiality: Both parties agree to treat any confidential information exchanged during the provision of the Service as strictly confidential. Confidential information includes, but is not limited to, business plans, financial information, proprietary methodologies, and trade secrets. The Client shall not disclose or use any confidential information for purposes other than those related to the Service without the prior written consent of Deus Marca and vice versa. Deus Marca respects the privacy of all client communications and will not disclose, share, or use in any manner without prior written consent from the client.
  6. Payment: Client agrees to pay in full before the start of the service on a regular monthly basis which will be automatically billed from our Quickbooks Online system. Payments are non-refundable.
  7. Membership Pauses & Termination: Either party may terminate the Service with written notice to the other party. Clients may pause their Membership service at any time. No refunds will be given and no time will be accumulated or rolled over if a membership is paused or terminated.
  8. Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in the State of California.
  9. Modification of Terms: Deus Marca reserves the right to modify or update these Terms at any time. The updated Terms will be available here with a notice of updates or otherwise communicated to the Client. Continued use of the Service after the effective date of any modifications constitutes acceptance of the revised Terms.
  10. Entire Agreement: These Terms constitute the entire agreement between the Client and Deus Marca regarding the Brand Map service and supersede any prior agreements or understandings, whether written or oral.
